Korean NPO Governance
Governance of Korean NPOs
The Code of Governance for NPO in Korea
Upholding Standards of Values
01 Fidelity to Purpose
The fundamental responsibility of an NPO board is to uphold, practice and demand the core values inherent in the Korean philosophy described as "nanum" (sharing).
02 Altruism and Philanthropy
An NPO's resources, energy and activities must be devoted to advancing public-benefit purposes, not personal or private ones.
03 Integrity
The underlying motivation must be one of public benefit, not personal gain.
04 Optimal Use of Resources
The board must focus on using valuable and limited resources responsibly, effectively and appropriately.
05 Conflicts Between Interest and Duty
For the sake of the fundamental principles and values of NPO governance, conflicts must be prevented that arise when a person in a position of trust makes decisions, or enters into contracts, from which they, their relatives or their associates benefit.
06 Equality and Non-Discrimination
It is the board's responsibility to take proactive measures to prevent unfair discrimination by the organization, including discrimination on the grounds of race, gender or disability.
07 Democracy and Empowerment
In conducting its work and in its relationships with stakeholders, an NPO must demonstrate its commitment to democratic processes and decision-making.
08 Independence and Impartiality
The purpose of public welfare means that all eligible beneficiaries must be treated fairly and impartially, without special privilege or prejudice.
Leadership That Drives the Movement
01 Vision, Purpose and Values
It is the board's responsibility to ensure that the organization's vision, purpose and values are clearly defined.
02 Accountability and Transparency
A key responsibility of the board is to keep its commitment to accountability and transparency.
03 Fundraising, Sustainability and Risk
Beyond financial management and budgeting, it is also the board's responsibility to raise funds appropriately so that the organization can continue to operate.
04 Collaboration and Synergy
NPOs should work and cooperate with other similarly qualified organizations, other than public government welfare agencies.
05 The Board and Other Governance Structures
When recruiting members, the board should consider a range of relevant factors, including knowledge, skills, diversity and availability.
06 Formal Procedures
Once formal procedures are set out in the founding document (constitution), they must be strictly observed.
Ensuring Financial and Legal Compliance
01 Establishment and Incorporation
The form of legal structure under which an NPO is established can determine when and how governance responsibilities arise.
02 Administrative and Procedural Requirements
Each alternative form of legal structure has its own reporting obligations for complying with the applicable laws and regulations.
03 Compliance with Other Legislation and Regulations
The board's governance responsibility also includes responsibility for ensuring that the organization complies with all of its legal obligations.
04 NPO Status – Financial Benefits and Conditions
It is a fundamental responsibility of the board to ensure that these privileges are not wasted or abused.
